Edwin Prasetya

Having served an intership at another leading Jakarta law firm, Edwin joined Assegaf Hamzah & Partners in September 2010 Within only a short amount of time with AHP, he managed to carve out a name for himself as an up-and-coming young lawyer thanks to his incisiveness, natural legal intuition and seemingly inexhaustible capacity for hard work.

Since joining the AHP team, Edwin has gained valuable experience of the workings of the capital markets through his participation in the USD 11 billion Bank Mandiri Rights Issue in 2010, Indonesia's second biggest rights issue of that year. He is a member of AHP banking, finance and project team and currently involved in several project finance for power-plant projects, most recently are the project financing for the Semangka run-of the river hydroelectric power plant and Hasang hydroelectric power plant.

Edwin holds a bachelor of law degree from Pelita Harapan University (UPH), which he earned in only three academic years, and an advocate's professional training certificate from the Indonesian Bar Association (Peradi). As a student, he represented Pelita Harapan University in a number of national moot court competitions.

  • Assisted PT Indotruck Utama in obtaining USD $ 7,500,000 loan from CIMB Berhad, Singapore Branch.
  • Assisited the Hongkong and Shanghai Banking Corporation Limited (“HSBC”) in establishing Hak Tanggungan to secure banking facilities in the amount of HKD 200,000,000 from HSBC to Hop Lun (Hong Kong) Limited.
  • Represented the Indonesian Deposit Insurance Corporation (LPS) in relation to the sale of 100% of the share capital of Bank Mutiara (previously Bank Century), which, following its collapse, was nationalized by the Indonesian Deposit Insurance Corporation in 2008. The LPS is currently in the process of selecting a winning bidder for the bank. The LPS has set a reserve price of IDR 6.7 trillion (USD 626 million) for the bank.
  • Represented Oversea-Chinese Banking Corporation Limited and PT Bank OCBC NISP Tbk in relation to US$ 350 million facilities to a Singapore SPV, a parent company of Indonesian coal mining companies.
  • Represented OCBC Bank (Malaysia) Berhad in relation to US$ 35 million facilities to an Indonesian industrial company.
  • Represented a subsidiary of private equity house Noonday Asset Management LLP in the provision of Loan Facilities to a subsidiary of PT Energi Mega Persada Tbk.
  • Represented Oversea-Chinese Banking Corporation Limited (OCBC) and PT Bank OCBC NISP Tbk. (NISP) on the USD 170,000,000 working capital facility and overdraft facility of up to IDR 15,000,000,000 to PT Multistrada Arah Sarana Tbk., a public listed Indonesian tire manufucturer.
  • Represented the Asian Entrepeneur Legacy (TAEL) in the amendment of its USD 60,000,000 Loan Facility to PT Batu Kaya Berkat and restructuring of securities in relation thereof.
  • Represented ND Bishop Finance in extending a US$199,600,000 senior and exchangeable facilities to subsidiaries of PT Bakrie Sumatra Plantation Tbk.
  • Represented PT Batamindo Investment Cakrawala (BIC) in obtaining a total of US$ 200,000,000 term loan facility from PT Bank CIMB Niaga Tbk.
  • Represented PT Batamindo Investment Cakrawala as borrower and PT Bintan Inti Industrial Estate as guarantor in connection with a USD 18,000,000 and SGD 230,750,000 loan facilities from a syndication of banks comprising Standard Chartered Bank and CIMB Bank Berhad, Singapore Branch.
  • Represented Bangkok Bank in series of aircraft components financing to Singapore borrower, guaranteed by Indonesia guarantor.
  • Represented Energy Equity Epic (Sengkang) in the US$ 125,000,000 financing arranged by Standard Chartered Bank (HongKong) Limited.
  • Counsel to CIMB Bank Berhad, Singapore Branch and Qatar National Bank SAQ Singapore Branch on a USD 100 million loan facility to PT Plaza Indonesia Realty Tbk from a syndication of banks for refinancing of existing facility and to finance capital expenditure and investment.
  • Counsel to PT Bank CIMB Niaga Tbk on its IDR billion (approx USD 76 million) loan facility to PT Net Mediatama Televisi for intercompany transfer of assets, purchase of broadcasting equipment, construction and renovation of studios, acquisition of companies and development of programs. We assisted the lender on the preparation of loan documentation including security documents and advising on Indonesian law-related matters.
  • Represented an Irish aircraft leasing company as the new lessor in relation to USD42,550,000 aircraft lease transaction to an Indonesian carrier.
  • Represented a Chinese banking corporation as the lender in relation to USD40,000,000 facility to an Irish aircraft leasing company, in relation to an aircraft lease transaction to an Indonesian carrier.
  • Represented Menara Investment SA and Menara Capital Ltd in providing loan facility to a coal trading company.
  • Represented creditor syndication and agent in syndication loan facility in the amount of USD130,000,000 and IDR600,000,000,000 to PT Plaza Indonesia Realty Tbk.
  • Represented Clyde Bergemann Power Group in obtaining multicurrency loan facility in the amount of USD62,500,000 and revolving loan facility in the amount of USD117,500,000 from Commerzbak Aktiengesellschaft.
  • Represented Lloyds Bank PLC in its amendment and restatement of loan facility provided to Volex Group which incorporated several of its subsidiaries in Indonesia as secutiry providers.
     

Project Finance

  • Represented the Korea Export-Import Bank in the USD 140 million financing for the financing of a 2 x 28 MW run-of-the-river hydroelectric power project in Tanggamus District, Lampung Province, Indonesia.
  • Represented the Asian Development Bank (ADB) in a USD 40 million project financing for the construction and development of a 21 MW solar power plant in North Sulawesi and three 7 MW solar power plants in Lombok, West Nusa Tenggara by Vena Energy (formerly Equis Energy, Asia's largest independent infrastructure private equity manager) (Vena Energy).
  • Represented ADB in a USD 120 million project financing for the construction and development of 72 MW Tolo wind-farm project in Jeneponto, South Sulawesi by Vena Energy.
  • Represented the Korea Development Bank, Société Générale, Hong Kong Branch, and Sumitomo Mitsui Banking Corporation, Singapore Branch, as mandated lead arrangers in the USD 147.5 million financing for the development of a 42 MW run-of the river hydroelectric power project in Toba Samosir district, North Sumatra.
     

Capital Market

  • Represented PT Indosat Tbk for the purpose of bond and syaria bond issuance of year 2012.
  • Represented PT Mandiri Sekuritas, PT Danareksa Sekuritas and PT Bahana Securities as the Joint Global Bookrunner in the Rp. 11 billion rights issue of PT Bank Mandiri (Persero) Tbk on the due diligence process.
  • Represented one of the biggest banks in Indonesia in securitization transaction.
  • Assisted Bekasi Fajar in pre-IPO restructuring and IPO (including full due diligence on the company and its subsidiaries, and submission of filings to the Indonesian Financial Services Authority (OJK).
  • Represented Citigroup Global Markets Asia Limited and PT Macquarie Capital Securities Indonesia as Initial Purchasers in the USD 115,000,000 global bond issuance by Indo Integrated Energy B.V., guaranteed by PT Indika Energy Tbk.
  • Represented PT Japfa Comfeed Indonesia for the purpose of sustainanle Public offering of debt securities on the due dilligence process.
     

Merger and Acquisition

  • Represented PT Holcim Indonesia in a bidding process for the acquisition of PT Boral Indonesia on the due diligence process.
  • Represented Bank Mandiri Tbk in a bidding process for the acquisition of PT Bank Muamalat Syaria Tbk on the due diligence process.
  • Represented Siam Cement Group for the purpose of acquistion on the due dilligence process.
  • Represented PT Holcim Indonesia Tbk for the purpose of merger with PT Semen Dwima Agung.
