Assegaf Hamzah & Partners (AHP) acted as legal counsel to Alfa Group in connection with the establishment of a joint venture company with Kazi Farms Group in Bangladesh, marking its expansion into the South Asian retail market.
This transaction represents Alfa Group’s second overseas retail investment beyond the Philippines and is a key step in its regional growth strategy. Through the joint venture, Alfa Group and Kazi Farms Group will develop and operate a minimarket-format grocery retail business in Bangladesh, supported by supply-chain and related operations designed to serve the country’s rapidly growing consumer market.
AHP advised on the drafting and negotiation of the joint venture documents and supported the parties in navigating regulatory considerations throughout the process. The cross-border nature of the deal required coordination across multiple jurisdictions, including collaboration with Bangladeshi counsel to address local regulatory requirements and facilitate the joint venture’s establishment and licensing.
This strategic collaboration enables Alfa Group’s market entry into Bangladesh, with its first store in Dhaka opening in January 2026. The group plans to open more than 100 stores in Dhaka and surrounding areas as part of its initial rollout, supported by significant investment in modern retail services, logistics infrastructure, and broader consumer access to quality products.
