Zhou Daohong (Dawn)

Dawn is Foreign Counsel at Assegaf Hamzah & Partners, with a core focus on advising Chinese clients on corporate and mergers and acquisitions matters in Indonesia. She joined AHP in 2016 and has since led the firm’s China‑focused practice. Prior to joining AHP, Dawn served as international counsel to Midea Group, one of China’s leading consumer appliance groups, for four years.

Dawn maintains a strong and established practice in general corporate and M&A transactions, advising Chinese investors on their investments and business operations in Indonesia. Her experience spans key sectors including mining, property development, and construction, as well as manufacturing, food and beverage, automotive, technology, telecommunications, and multi‑finance. She regularly advises on market entry strategies, acquisitions, divestments, joint ventures, ongoing corporate and commercial matters, and liquidation.

Her recent experience includes acting for prominent Chinese companies such as BYD, China Mobile Communication, China State Construction, Conch Cement, Haidilao Hotpot, Haier, Hisense, HONOR, Huayou Cobalt, iFLYTEK, Lygend Resources, MXBC Co., Ltd., Nanshan Aluminum, SANY, XCMG and Yanker Shop. Dawn has also provided extensive legal, tax, and regulatory advice on Indonesian law, particularly in the real estate, construction and intellectual property sectors.

  • Assisted PT Industri Baterai Indonesia, an Indonesian government-owned investment holding company operating in the new energy materials sector, in the collaboration on establishing a joint venture with CBL International Development, a business unit of Contemporary Amperex Technology Co., Limited, a Chinese battery manufacturing giant. The joint venture aims to build an electric vehicle (EV) battery cell manufacturing facility and battery recycling in Indonesia.
  • Assisted China Energy Engineering Group Jiangsu Power Design Institute Co., Ltd. on its investment in Indonesia, including review of EPC contracts and land mortgage arrangements.
  • Advised Mercuria, one of the world’s leading commodity trading groups, on its acquisition of stakes in two Indonesian project companies controlled by the Tsingshan Group.
  • Advised Huayou Cobalt, a China‑based mining company, on the acquisition of two mining companies in Indonesia, with an aggregate transaction value of approximately USD 35 million.
  • Advised iFLYTEK, a leading Chinese artificial intelligence (AI) technology company, on the establishment of a joint venture with the Sinar Mas Group in Indonesia.
  • Advised Lygend Resources on its application for listing on the main board of the Shenzhen Stock Exchange, with a planned fundraise of approximately RMB 4.047 billion.
  • Advised Angel Yeast, a globally recognised yeast producer from China, on its second joint venture with a local Indonesian partner, with a total project value exceeding USD 100 million.
  • Assisted Honor Device Co., Ltd. on its re‑entry into the Indonesian market through the establishment of a local subsidiary and the provision of ongoing general retainer services.
  • Assisted China Communications Construction Group Co., Ltd. on the acquisition of land in Indonesia through a newly established joint venture project company, covering land due diligence, joint venture documentation, company establishment, and land acquisition.
  • Assisted BYD on land acquisition in Indonesia for the establishment of a local electric vehicle manufacturing facility.
