Assegaf Hamzah & Partners (AHP) advised PT Bank Tabungan Negara (Persero) Tbk (“BTN”) on its acquisition of the pension loan portfolio of PT Bank SMBC Indonesia Tbk. The transaction supports BTN’s strategy to strengthen its position in pension lending and expand its consumer finance business.
AHP provided integrated advice on the banking and capital markets aspects of the transaction, including structuring, due diligence, and the preparation of transfer documentation.
The transaction was led by Indira Yustikania, Deputy Head of the Banking, Finance & Projects practice, as lead partner, with support from Inda Ranadireksa, Partner in the Capital Markets practice. The team included Senior Associate Ismail Muhammad and Associates Nastiti Nadya Nistisaras and Anastasya Michelle from the Banking, Finance & Projects practice.
This transaction reflects the continued shift in Indonesia’s banking sector towards active portfolio optimisation and targeted growth. It enables BTN to scale its pension lending platform while maintaining strong discipline in risk and asset quality. We are pleased to support a transaction that is both strategically and commercially important for BTN.
This transaction highlights the importance of close coordination across regulatory, financing, and operational aspects in portfolio transfers, as well as sustained institutional interest in the reallocation of financial assets in Indonesia.
This engagement highlights AHP’s experience in advising regulated financial institutions on complex, multi-dimensional acquisitions involving both banking and capital markets considerations.
