AHP Advised Indosat Ooredoo Hutchison and PT Aplikanusa Lintasarta on the Launch of PT Infra Fiber Teknologi, Operator of an 86,000 km Fibre Optic Network, with Arsari Group

Assegaf Hamzah & Partners ("AHP") is pleased to have advised Indosat Ooredoo Hutchison ("Indosat") and PT Aplikanusa Lintasarta ("Lintasarta") on the launch of PT Infra Fiber Teknologi ("IFT"), a fibre infrastructure company that will operate an approximately 86,000 km fibre optic network. The transaction involved the divestment of certain fibre optic network assets to IFT and the formation of a strategic partnership with Arsari Group through PT Nusantara Fiber Teknologi ("NFT").

The network comprises national backbone infrastructure, domestic submarine cable systems, and access networks spanning various regions across Indonesia. As part of the transaction, the Indosat Group received approximately IDR11.7 trillion.

IFT is valued at approximately IDR13.8 trillion and is wholly owned NFT, a joint venture established by Indosat, Lintasarta, and Arsari Group. Indosat and Lintasarta collectively hold a 49.9% stake in NFT, which in turn owns 100% of the shares in IFT.
The partnership is intended to accelerate the development of fibre infrastructure and strengthen digital connectivity across Indonesia, supporting the country’s growing demand for high-quality broadband services and digital ecosystem expansion.

AHP advised Indosat and Lintasarta on all M&A aspects of the transaction, including the establishment of the joint venture, the divestment of the fibre optic network assets, transaction structuring, documentation, and regulatory matters.
